95END USER LICENSE AGREEMENTOtherscountries may not offer the same level ofprotection as your country of residence andyou may have fewer legal rights in relation toInformation processed and stored in, ortransferred to, such countries. SONY willuse reasonable efforts to take appropriatetechnical and organizational steps to preventunauthorized access to or disclosure ofInformation, but does not warrant it willeliminate all risk of misuse of suchInformation.AUTOMATIC UPDATE FEATUREFrom time to time, SONY or the THIRD-PARTY SUPPLIERS may automaticallyupdate or otherwise modify theSOFTWARE, including, but not limited to,for purposes of enhancement of securityfunctions, error correction and improvementof functions, at such time as you interactwith SONY’s or third parties’ servers, orotherwise. Such updates or modificationsmay delete or change the nature of featuresor other aspects of the SOFTWARE,including, but not limited to, functions youmay rely upon. You acknowledge and agreethat such activities may occur at SONY’ssole discretion and that SONY maycondition continued use of the SOFTWAREupon your complete installation oracceptance of such update or modifications.Any updates/modifications shall be deemedto be, and shall constitute part of, theSOFTWARE for purposes of this EULA. Byacceptance of this EULA, you consent tosuch update/modification.ENTIRE AGREEMENT, WAIVER,SEVERABILITYThis EULA and SONY’s privacy policy,each as amended and modified from time totime, together constitute the entireagreement between you and SONY withrespect to the SOFTWARE. The failure ofSONY to exercise or enforce any right orprovision of this EULA shall not constitute awaiver of such right or provision. If any partof this EULA is held invalid, illegal, orunenforceable, that provision shall beenforced to the maximum extent permissibleso as to maintain the intent of this EULA,and the other parts will remain in full forceand effect.GOVERNING LAW ANDJURISDICTIONThe United Nations Convention onContracts for the International Sale of Goodsshall not apply to this EULA. This EULAshall be governed by the laws of Japan,without regards to conflict of lawsprovisions. Any dispute arising out of thisEULA shall be subject to the exclusivevenue of the Tokyo District Court in Japan,and the parties hereby consent to the venueand jurisdiction of such courts.EQUITABLE REMEDIESNotwithstanding anything contained in thisEULA to the contrary, you acknowledge andagree that any violation of or non-compliance with this EULA by you willcause irreparable harm to SONY, for whichmonetary damages would be inadequate,and you consent to SONY obtaining anyinjunctive or equitable relief that SONYdeems necessary or appropriate in suchcircumstances. SONY may also take anylegal and technical remedies to preventviolation of and/or to enforce this EULA,including, but not limited to, immediatetermination of your use of the SOFTWARE,if SONY believes in its sole discretion thatyou are violating or intend to violate thisEULA. These remedies are in addition toany other remedies SONY may have at law,in equity or under contract.TERMINATIONWithout prejudice to any of its other rights,SONY may terminate this EULA if you failto comply with any of its terms.
